Terms & Conditions
These Terms & Conditions apply to all sales of goods and services by Ring Protect Limited, a company registered in England and Wales (Company Number 16533727) with its registered office at 51 Pentagon Way, Wetherby, West Yorkshire, United Kingdom, LS22 6AU ("we", "us", "our") to customers purchasing via our website, wholesale portal, or otherwise ("you", "customer"). Please read them carefully before placing an order.
Nothing in these Terms affects your statutory rights.
1. Basis of Contract
1.1 These Terms govern all contracts between you and us and override any other terms unless expressly agreed in writing.
1.2 By placing an order, you confirm that you are legally capable of entering into a binding contract and that you accept these Terms in full.
2. Prices & VAT
2.1 All prices are subject to change without prior notice.
2.2 Prices displayed on our consumer website are inclusive of VAT at the applicable UK rate.
2.3 Prices on our wholesale portal are exclusive of VAT, which will be added at the applicable rate at the time of dispatch.
2.4 Delivery, packaging, insurance, customs duties, or other charges (where applicable) will be shown at checkout or confirmed prior to dispatch.
3. Orders & Payment
3.1 Consumer orders placed online must be paid for in full at the time of ordering.
3.2 Wholesale customers approved for credit must pay invoices within 30 days of the invoice date, unless otherwise agreed in writing.
3.3 New wholesale customers may be required to pre-pay their first order.
3.4 We reserve the right to charge statutory interest and reasonable recovery costs on late payments in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
3.5 We may suspend or cancel further deliveries if payment becomes overdue.
4. Delivery
4.1 Delivery dates are estimates only and time is not of the essence.
4.2 Risk in the goods passes to you on delivery to the address specified in your order.
4.3 You must ensure that an authorised person is available to receive and sign for the goods.
4.4 You must notify us of any missing items, damage, shortages, or errors within 2 working days of delivery by contacting customer services at the published contact address. This does not affect your statutory rights.
5. Title (Ownership) of Goods
5.1 Ownership of the goods remains with us until payment in full has been received.
5.2 Until ownership passes, you must store the goods safely and not dispose of them.
5.3 If payment becomes overdue, we may (where legally permitted) recover goods to which we retain title.
6. Consumer Rights & Returns (UK/EU Consumers)
6.1 If you are a consumer, your purchase is covered by the Consumer Rights Act 2015. Goods must be as described, fit for purpose, and of satisfactory quality.
6.2 You have a legal right to cancel most online purchases within 14 days of delivery under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
6.3 To exercise your right to cancel, you must notify us clearly within the cancellation period. Returned goods must be unused and in their original packaging.
6.4 Refunds will be processed within 14 days of receiving the returned goods or proof of return.
6.5 Certain items are excluded from the right to cancel, including:

Sealed goods which are not suitable for return for hygiene or health protection reasons once unsealed

Custom-made or personalised items

Event tickets (non-refundable and non-transferable)

Goods that have expired or deteriorated rapidly
7. Returns – Trade & Wholesale Customers
7.1 Returns will only be accepted with prior written authorisation and must be accompanied by the original invoice or delivery note.
7.2 Special-order or bespoke goods are non-returnable.
7.3 Dated or regulated products cannot be returned once opened, damaged or incomplete.
8. Warranties & Guarantees
8.1 Any manufacturer’s warranty applies in addition to your statutory rights.
8.2 Warranties are void if goods are not used, handled, or maintained in accordance with manufacturer instructions.
8.3 Normal wear and tear is excluded from warranty coverage.
9. Limitation of Liability
9.1 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any matter that cannot legally be limited.
9.2 Subject to clause 9.1, we are not liable for indirect, consequential, or economic losses, including loss of profit or business.
9.3 Our total liability shall not exceed the price paid for the goods giving rise to the claim.
10. Set-Off
10.1 You may not withhold payment of sums due by reason of any set-off or counterclaim, except where permitted by law.
11. Insolvency (Trade Customers)
11.1 If you become insolvent, enter administration or liquidation, or are unable to pay debts as they fall due, all outstanding sums shall become immediately payable and we may suspend or terminate further deliveries.
12. Export Sales
12.1 Export orders are subject to separate written agreement regarding delivery terms, payment, duties, and taxes.
13. Data Protection
13.1 We process personal data in accordance with the UK GDPR and EU GDPR (where applicable). Please refer to our Privacy Policy for details.
14. Governing Law & Jurisdiction
14.1 These Terms and any disputes arising from them shall be governed by English law.
14.2 The courts of England and Wales shall have exclusive jurisdiction, subject to mandatory consumer protections.
15. Changes to These Terms
15.1 We may update these Terms from time to time. The version in force at the time of your order will apply.
